  • Chargeback: means the procedure by which, and the value of, a Sales Draft (or disputed portion thereof) returned to Bank by a Card Issuer;

  • Client: refers to the business relationship between Imali Buyer and Imali Global, separately and considering the context in which the term is used;

  • Data Sources: means banks, credit cards, and other third-party financial sources.

  • ECT Act: means the Electronic Communications & Transactions Act 25 of 2002;

  • Imali Buyer: means a person or entity desiring to purchase services from Imali Global, and desiring to use the website to facilitate and complete the purchase shall be referred to as (“Imali Buyer”) and/or User;

  • Imali Global: means Imali Global Sales Group (Pty) Ltd and its affiliates including subsidiary companies such as Imali Sales Services;

  • Imali Sales Services: registered LLC in terms of the company laws of Delaware and such company is a registered life insurance agency in the US;

  • Our products or services means Imali Global’s products or services;

  • Products means memberships, subscriptions, leads, insurance, online courses;

  • Services means insurance contracting and sales, leads distribution, life insurance sales;

  • Transaction: means the sale and purchase of products or services from Imali Global by the Imali Buyer and/or user which is facilitated by Imali Global;

  • User: means any independent person or entity, persons of the public, Imali Buyer and includes persons not registered to use the website and general internet browsers;

  • Website Owner: means Imali Global;

  • Web site: Means www.ImaliLife.com and all subpages thereof excluding links to external sites. All references to use of the website in this Agreement extends mutatis mutandis to use of any associated applications;

  • VAT: Means Value Added Tax

About Imali Global Sales Group (Pty) Ltd (“Imali Global”):

Imali Global is a registered private company in terms of the company laws of South Africa. Imali Global is the proprietor of this website.

Imali Global wholly owns a US subsidiary company, Imali Sales Services, which is registered LLC in terms of the company laws of Delaware and such company is a registered life insurance agency in the US.

Imali Global provides the following products and services (some of which being exclusively to the United States of America, and others which are available globally):

  • Lead Sales: Individuals and companies are able to buy leads from Imali Global.

  • Online and Back Office Support Services: Individuals and companies are able to pay a one-time and/or a recurring fee for access to online courses and back office support.

  • Lead Generation: Individuals (seeking professional services such as insurance) are able to submit their information to Imali Global with the intention of being contacted by Imali Global and/or the companies/individuals that Imali Global sells their information to, in order to provide them with life insurance and/or related services.

  • Life Insurance Sales: (US Only) Life insurance is available in the US.

This Agreement:

This agreement regulates your use of Imali Global’s websites, www.ImaliLife.com, www.ThisIsMyPlan.com, www.IWantToSellInsurance.com, www.MyMoneyHasPower.com which is owned and operated by Imali Global and concerns your relationship with both Imali Global and Imali Sales Services.

By accessing and using any of our products or services the website, together with any third party services or applications made available via the website and any related or successor services, (including applications, add-ons, add-ins, and support widgets), as well as any additional service that we may make available to you via our products or services, you agree and are deemed to have agreed to observe all terms & conditions of use. This includes any privacy or other policies which may appear elsewhere on this or any associated website. If you do not agree to be bound by all of the terms, then you are advised to not access or use any of our products or services.

Please read these terms carefully before using our services as these terms will need to be understood by you as the User due to the fact that such terms may affect your legal rights and obligations.

Data sources make no warranties of any kind to us related to the data provided by our Services–whether express, implied, statutory, or otherwise. No data provided by our Services is an official record of any of your accounts or financial transactions.

Although Imali Global utilises its best endeavours to provide accurate information on the Website, it accepts no responsibility for inaccurate and/or incomplete information that may be published on the Website. Further, Imali Global accepts no responsibility for inaccurate and/or incomplete information provided by Users and/or third parties to the Website. The Users agree to access and use this Website entirely at their own risk.

The Services are provided on an “as is” and “as available” basis. Imali Global and their service providers expressly disclaim all warranties of any kind as to the Services and all information, products and other content (including that of third parties) included in or accessible from the Services, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and noninfringement of third-party rights.

Indemnity & Warranties:

Users hereby agree to indemnify and hold harmless Imali Global, its officers, employees, ISPs, servants, subcontractors, partners, subsidiaries and affiliates, advertiser, partners, agents and representatives from any demand, liabilities, action or application or other proceedings, including for attorney’s fees (attorney and own client scale) and related costs such as tracing fees, made by any third party, Imali Buyer or user and arising out of or in connection with the users use of this web site, third party web sites or any of the services offered through such sites in any way, including but not limited to the provision of content, from user’s unauthorised use of material obtained from the website, from its breach of this agreement, or from any such acts arising through use of the website or any other violation of the rights of another person or party.

You undertake and warrant that you will not:

Users further Assurance

Users further undertake not to:

Impersonate any other person or use a false or unauthorised name so as to create a false identity and/or e-mail address or to misrepresent the origin or identity of any communications;

Modify, access or make available any data stored on a computer device which has been accessed through the web site owner's network;

Make available or upload files that contain software or any other material not owned or licensed to the user;

Make use of the web site to collect, harvest or otherwise obtain personal information relating to other users;

Users and members irrevocably agree that all content provided by them, whether posted on their site or elsewhere or where privately transmitted, is and remains the sole responsibility of the member from which such content originated;

The web site owner does not control any content posted through the services which it provides, although it retains the right (but not obligation), in its sole and absolute discretion, to remove any material which is the subject of a complaint;

The web site owner accordingly excludes, to the fullest possible extent permissible under law, any responsibility or liability for any error or inaccuracy appearing in advertising or sponsorship material.

Consumer Rights & Security:

Under sections 43(1) and (2) of the ECT Act the web site owner is required to disclose the information and procedures set out in these sections in respect of electronic transactions. In the event that a consumer proves that the web site owner has not set out the information and procedures as required then the consumer has the right to cancel the transaction within 14 days of receiving the relevant goods or services under the transaction. Under section 42(2)(d) of the ECT Act the cooling-off period set out in section 44 of the act does not apply to an electronic transaction for services which began with the consumer's consent before the end of a period of seven days from receipt of the service.

Therefore, Section 42(2)(d) of the ECT Act is understood to apply to all Transactions under this Agreement. Simply put: any new User shall enjoy a seven day cooling off period, commencing on the conclusion of this Agreement, to cancel the same, without prejudice.

Where a transaction has been so cancelled, the user is directed to the Terms and Conditions listed under clause 12 and 13 below.

Under section 42(1)(g) of the ECT Act the cooling-off period set out in section 44 of the act does not apply where audio or video recordings or computer software were unsealed by the consumer.

Under section 42(1)(h) of the ECT Act the cooling-off period set out in section 44 of the act does not apply to an electronic transaction for the sale of newspapers, periodicals, magazines and books.

Under section 43(5) of the ECT Act the supplier must utilise a payment system that is sufficiently secure with reference to accepted technological standards at the time of the transaction and the type of transaction concerned.

Under section 43(6) of the ECT Act the supplier will be liable for any damage suffered by a consumer as a result of the failure to comply with section 43(5).

Transactions are processed through the PayPal, Stripe and/or the Authorize gateway.

Subscription Terms:

Your subscription begins as soon as your initial payment is processed.

Your subscription will automatically renew each month without notice until you cancel.

You authorise us to store your payment method(s) and to automatically charge your payment method(s) every month until you cancel. We will automatically charge you the then-current rate for your plan, plus applicable taxes (such as VAT or GST if the rate does not include it), every month upon renewal until you cancel.

We may change your plan’s rate each monthly renewal term and we will notify you of any rate change with the option to cancel. If the applicable VAT or GST rate (or other included tax or duty) changes during your one-month term, we will accordingly adjust the tax-inclusive price for your plan on your next billing date.

If your primary payment method fails, you authorise us to charge any other payment method in your account. If you have not provided us a backup payment method(s) and you fail to provide payment or if all payment methods in your account fail, we may suspend your subscription. You can edit your payment information any time by contacting our support on [email protected] .

Your bank may require you to authenticate your initial purchase using a password, a one-time code sent to your mobile number or biometric recognition. When you authenticate, you also authorise us to charge your payment method for your additional purchases without providing us further payment information or other instructions (i.e., we will initiate future payments independently). Such additional purchases may occur when we automatically charge your payment method in connection with a recurring subscription or when you add or change licences or products.

Cancellation Terms:

You can cancel your subscription any time via www.ImaliLife.com/cancel page or by contacting Customer Support 1-302-643-2807.

If you cancel within 7 days of your initial order, you’ll be fully refunded.

Should you cancel after 1 day, your payment is non-refundable and your service will continue until the end of that month’s billing period.

Termination of this agreement

The web site owner reserves the right, in its sole and absolute discretion and without prior notification, to terminate the provision of this web site and/or to terminate the access rights of any user where, for example and without limitation:

  • The web site owner regards the action or inaction of a user to constitute a breach of these terms and conditions.

  • The web site owner regards the action or inaction of a user to constitute abuse of the services offered through this web site.

  • Events beyond the reasonable control of the web site owner, including technical failures, prevent the continuing provision of the web site.

Chargebacks:

The amount of a transaction may be charged back or reversed to your Payment Account (a "Chargeback") if the transaction (a) is disputed by the sender, (b) is reversed for any reason, (c) was not authorized or we have any reason to believe that the transaction was not authorized, or (d) is allegedly unlawful, suspicious, or in violation of the terms of this Agreement.

The user agrees that it owes us and will immediately pay us the amount of any Chargeback and any associated fees, fines, or penalties by MasterCard, Visa, American Express, Discovery, and/or any other payment card networks, associations, or companies ("Networks").

The user agrees to assist us when requested, at their expense, to investigate any of their transactions processed through the Service.

For Chargebacks associated with Cards, we will work with the user to contest the Chargeback with the Network or issuing banks should they choose to contest the Chargeback.

We will request necessary information from the user to contest the Chargeback.

The users failure to timely assist us in investigating a transaction, including without limitation providing necessary documentation within 11 days of our request, may result in an irreversible Chargeback.

Amendment of the Terms and Conditions of this Agreement

Please note that, due to legal and other developments, Imali Global may be required to amend these terms and conditions of use from time to time.

Imali Global expressly reserves the right in its sole discretion to affect any amendment or alteration to the content and information provided solely by Imali Global, including pricing and rates.

Imali Global does not and will not amend or alter any content provided and or uploaded directly by the user. It is the Users responsibility to update its information and to keep such information up to date.

Users acknowledge that it is their responsibility to familiarise themselves with any amendment or alteration affected.

Imali Global will attempt to give notice of any amendments, but reserves the right to effect binding amendments, additions or deletions without notice.

Imali Global reserves the right to change the agreement. These changes will become effective from the date on which they are posted to the website.

Accordingly, it is the user’s responsibility to check the website from time to time to see whether the terms of this agreement have been changed. User’s continued use of the website will be deemed to be an acceptance by it of the agreement to these amendments.

Other than the variation of this agreement by Imali Global placing such amendment on the website, as mentioned above, no addition to, variation of, novation, or agreed cancellation of this agreement shall be of any force or effect unless in writing.

No waiver: no relaxation or indulgence which either party may grant to the other shall constitute a waiver of the rights of that party and shall not preclude that party from exercising any rights which may have arisen in the past or which might arise in the future.

Severability: should any provision of this agreement be void for vagueness or for any other reason, then that provision of this agreement shall be capable of being severed from the remainder of this agreement, which shall remain of full force and effect.

Plain and understandable language: the user confirms that the provisions of this agreement are in plain and understandable language and that it understands the provisions contained herein.

No transfer: users may not cede, sub-license or otherwise transfer any rights they may have under these terms and conditions or which may otherwise have been obtained through the use of this site.

Receipt of Data Messages:

Data messages, including e-mail messages, sent by users to the web site owner shall be deemed to be received only when acknowledged or responded to.

A data messages sent by the web site owner to users shall be regarded as received when the complete data message enters an information system designated or used for that purpose by the recipient and is capable of being retrieved and processed by the recipient.

The web site owner reserves the right not to respond to any e-mail or other data message which contains obscene, threatening, defamatory or otherwise illegal, unlawful or inappropriate content, and to take the appropriate action against the sender of such e-mail where necessary.

Monitoring and interception of data messages

In order to provide a relevant and secure service, and where required to do so under law, the web site owner may monitor and/or intercept electronic communications such as e-mail which are sent to this web site. Any content received by any unregistered user, alternatively any registered user without pre-arranged authorisation to send content to Imali Global via e-mail or other data message, will be assumed to have been submitted for publication free of charge, unless the sender clearly stipulates that payment for the content is required and includes all relevant contact and pricing information in the e-mail or other data message.

Imali Buyers and users are permitted to submit content to Imali Global only via their respective and/or the email address stipulated by Imali Global as their contact email. This may be waived, at the sole and absolute discretion of Imali Global.

The publication of content, either on-line or off-line, is within the sole and exclusive discretion of the web site owner.

Security

While Imali Global takes all reasonable security precautions and subject to, no liability will lie for damage caused by the malicious use of this site or by destructive data or code that is passed on to the user through the use of this site.

The following acts in connection with this web site are expressly prohibited:

  • Gaining or attempting to gain unauthorised access to any web page or part of this web site;

  • Delivering or attempting to deliver any unauthorised or malicious code or content to this web site; and/or

You acknowledge and agree to not reverse engineer or reverse compile any of the service’s technology, including but not limited to, any Java applets associated with the services.

Privacy and Confidentiality of Communications:

Further information regarding the manner in which we respect the privacy of users' personal information is contained in each separate terms and conditions listed in our Privacy Policy.

The web site owner may monitor, and intercept communications made through this web site in order to promote the secure and efficient operation of the web site. Users irrevocably agree that they consent to such interception and monitoring as may be reasonably carried out by the web site owner.

Consent to jurisdiction:

The user consents to the jurisdiction of the Magistrate's court having jurisdiction in terms of section 28 of the Magistrate's Court Act, as amended, in respect of any dispute flowing from the use of this web site.

Dispute resolution:

Any dispute arising out of or in connection with these terms and conditions including any question regarding its existence, validity or termination, shall be settled by mediation and arbitration concluded through AFSA rules, which rules are deemed to be incorporated by reference into this clause.

Where the dispute has arisen in South Africa between parties in South Africa the place of the arbitration is deemed to be Johannesburg, so the arbitration will be governed by these rules and the dispute will be resolved in accordance with the Law of South Africa.

Where the dispute has arisen in South Africa between Imali Global and a user who are Internationally based, the place of the arbitration is deemed to be Johannesburg, so the arbitration will be governed by these rules and the dispute will be resolved in accordance with the Law of South Africa.

The language used during the dispute resolution process will be English.

Whole Agreement

The terms and conditions herein and referred to elsewhere on the website constitutes the sole record of the agreement between Imali Global and the user and supersedes all previous agreements. Neither of the parties shall be bound by any representation, express or implied term, warranty, promise or the like not recorded in this agreement.
